This Privacy Policy (“Privacy Policy”) sets out the privacy practices of Groupworks Inc., with respect to its website and applications (collectively referred to as the “Site”). The Site is owned and operated by Groupworks Inc. , a Delaware corporation having its registered office at 8 The Green STE R, Dover, Kent, Delaware 19901 (“Groupworks”, the “Company”, or “us” or “we”), which expression would mean and include its officers, successors and permitted assigns). 

We request you (“user” or “you” or “your”) to go through this Privacy Policy carefully before you decide to access the Site.

Groupworks is strongly committed to protecting the privacy of its users and has taken all necessary and reasonable measures to protect the confidentiality of the user information. Groupworks will not be held liable for disclosure of the Confidential Information if such disclosure is in accordance with this Privacy Policy. Confidential Information shall mean and include all information, documents and materials whether written or otherwise in any other explicit form, that is disclosed by you or uploaded on the Site, irrespective of the form of communication. 

 

1. Overview of Privacy Policy

In this Privacy Policy, we describe the types of personal information we process through our Services, how we may use the information, how long we may keep the information, with whom we may share the information and the choices available to you regarding the use of the information and the exercise of your rights, including a right to object to some of the processing we carry out (if required under the applicable law).

2.1 Groupworks may collect, process and store your personal information, including but not limited to the following:

i.  Any information that you provide to Groupworks over telephone. Groupworks may make and keep a record of such information shared by you;

ii. A ny information that you provide to the Company in physical form whether sent through post or courier or handed over to the Company’s representatives; and

iii. Non-personal information that you provide that does not include any personally identifiable information about any individual. 

iv. Any information that you provide to Groupworks online or digitally. Groupworks may make and keep a record of such information shared by you;

2.2 You shall not share or provide personal information belonging to a third party. We disclaim all liability arising out of any unauthorized sharing or processing of any personal information belonging to a third party and you agree to indemnify and hold harmless Groupworks against any third party claims which arise out of such unauthorized sharing and processing of personal information belonging to a third party.

 

3. Use of the Information collected 

3.1 The primary goal of the Company in collecting the above information is to enable Groupworks to carry out its services of Compliance Exchange for purpose of Compliance management and collaboration within the business network (collectively referred to as the “Service”). 

3.2 Groupworks may also use the information provided by you in the following ways:

i.  To observe, improve and administer the quality of Service;

ii.  To analyze how the Site is used, diagnose technical problems;

iii.  To confirm your identity in order to determine your eligibility to use the Site

iv.  To notify you about any changes to the Site;

v.  To enable the Company to comply with its legal and regulatory obligations;

vi.  For the purpose of sending administrative notices, Service-related alerts and other similar communication with a view to optimizing the efficiency of Site;

vii.  For troubleshooting and providing protection against error, fraud and other criminal activity

 

4. Cookies

Cookies are small portions of information saved by your browser onto your computer/mobile. Cookies are used to record various aspects of your visit and assist the Company to provide you with uninterrupted service. However, no personal information identifying you is collected nor is any data capture mechanism/s employed. You may change your browser settings to accept or reject cookies on personal preference. You can accept or decline cookies. Most web browsers automatically accept cookies, but You can modify the browser setting to decline cookies if you so prefer. The Company does not use cookies to save personal information for any unauthorised use. 

 

5. Sharing of Information 

5.1 The Company may share aggregated information with the Company’s third- party consultants and or affiliates, for funding or advocacy purposes which are related to the primary goals of Groupworks as explained in our About page. This is not linked to any personal information that can identify any individual person (“Anonymised Information”). 

5.2 Groupworks will not be liable for transfer of any personal identification information resulting from loss or distribution of data, the delineation or corruption of media storage, power failures, natural phenomena, riots, acts of vandalism, sabotage, terrorism or any other event beyond Company’s control.

5.3 Non-disclosure of Information: Your personal information is subject to strict security requirements and will not be shared or disclosed for any commercial or electoral purpose. The Company pledges that it will not sell or rent your personal details to anyone and every bit of your personal information will be protected and maintained confidential by the Company except in the following cases:

i. Groupworks may disclose your personal information in the event it is required to do so by law, rule, regulation, law, enforcement, governmental official, legal authority or similar requirements and to such other statutory bodies who have appropriate authorisation to access the same for any specific legal purposes;

ii. Groupworks may disclose your information if it is under a duty to do so in order to comply with any legal obligation, or to protect the rights, property or safety of the Company, its users or others.

 

6. Security of Information

6.1 The information that is collected from you may be transferred to and stored in a cloud server, or Groupworks’s own systems. The physical location of the server(s) and systems will be located within USA. By submitting information on the Site, you agree to this transfer, storing and/ or processing. The Company will take such steps as it considers reasonably necessary to ensure that your information is treated securely and in accordance with this Privacy Policy. 

6.2 Groupworks uses commercially reasonable precautions to preserve the integrity and security of your information against loss, theft, unauthorised access, disclosure, reproduction, use or amendment.

6.3 In using the Site, you accept the inherent security implications of data transmission over the internet cannot always be guaranteed as completely secure. Therefore, the use of the Site will be at your own risk.

6.4 The Company assumes no liability for any disclosure of information due to errors in transmission, unauthorised third party access or other acts of third parties, or acts or omissions beyond its reasonable control and you agree not to hold the Company responsible for any breach of security.

6.5 In the event Groupworks becomes aware of any breach of the security of your information, it will promptly notify you and take appropriate action to the best of its ability to remedy such a breach.

 

7. Exclusion 

This Privacy Policy does not apply to any information other than information collected by the Company through the Site including such information collected in accordance with the clause on “Collection of Information” above. This Privacy Policy will not apply to any unsolicited information provided by you through this Site or through any other means. All such unsolicited information shall be deemed to be non-confidential. 

 

8. Your Rights

8.1 By using our Site, you consent to the collection, processing and storage of your personal data which may include sensitive personal data as defined under the applicable law (“SPD”). In this regard, you as a user of the Site shall have the right to:

i. be informed about the SPD that we collect from you; 

ii. access and review your SPD; 

iii. have your SPD corrected if it is inaccurate or incomplete at any time; 

v. request the deletion or removal of your SPD at any time; and 

vi. withdraw the consent that you have provided to collect, use or store your SPD at any time.

 8.2 Please note that in the event you exercise your right to withdraw your consent to processing of your information, restrict or limit our right to process your SPD or object to processing of your SPD, such exercise of rights may adversely impact the provision of the Services by us. In this context, we reserve the right to discontinue the provision of some or all of the Services or provide the Services in a limited manner should you choose to exercise any of the aforesaid rights.

8.4 Any request received by us in relation to the aforesaid shall be acknowledged within 24 hours of receipt of such request and resolved in 15 days of receipt of the request. 

 

9. Data Retention

Your information will be retained with Groupworks as long as required for provision of the Services. The Company will retain and use your information as necessary to comply with its legal obligations, resolve disputes, and enforce its agreements. 

 

10. Minor’s Privacy 

The Site is not intended for use by minors and Groupworks strongly encourages you or your representatives to supervise the online activities of their minor children. 

 

11. Opt out Procedures 

You may opt out of receiving any, or all, non-essential communications from us by following the unsubscribe link or instructions provided in any email we send. However, you will continue to receive important updates, information sought from Groupworks by you and allied Services.   

 

12. Notification of Changes

We may update this Privacy Policy at any time, with or without advance notice. In the event there are significant changes in the way we treat your personally identifiable information, or in the Privacy Policy document itself, we will display a notice on the Site or send you a notification informing you of such changes, so that you may review the changed terms prior to continuing to use the Site.

Using the Company’s Site after a notice of changes has been sent to you or published on our Site will constitute your consent to the changed terms.
